Towering Media End-User License Agreement (EULA)
This End-User License Agreement (“Agreement”) is entered into by and between Towering Media Company LLC, a company organized and existing under the laws of the State of Illinois, United States, with its principal place of business in Chicago, Illinois (“Towering Media”, “we”, “us”, or “our”), and the individual or entity purchasing, downloading, installing, or using the Software (“Customer”, “You”, or “Licensee”).
This Agreement governs the use of software products, Magento extensions, and related services distributed by Towering Media through our websites, Composer repositories, marketplaces, or other delivery mechanisms (collectively referred to as the “Software”).
By purchasing, downloading, installing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
1. General Provisions
- This Agreement becomes effective upon the Customer’s purchase, download, installation, or use of the Software.
- The Software may be delivered through Composer repositories, download packages, or other digital delivery methods determined by Towering Media.
- By using the Software, the Customer confirms that they agree to comply with this Agreement and any additional policies published by Towering Media.
- Towering Media reserves the right to refuse service, revoke access, or terminate licenses in cases of abuse, violation of licensing terms, or illegal activity.
2. License Grant
- Towering Media grants the Customer a revocable, non-exclusive, non-transferable, limited license to install and use the Software in accordance with this Agreement.
- Unless otherwise specified in the product description, a license allows the Customer to use one copy of the Software per Magento installation.
- The Customer must obtain a separate license for each Magento installation where the Software is used, unless otherwise specified.
- The Software may be used in development, staging, and production environments associated with the licensed Magento installation.
- The license grants usage rights to the Software version available at the time of purchase. Access to updates, upgrades, and support may require an active subscription.

Towering Media may implement license validation systems including but not limited to:
- License keys
- Domain registration
- Instance verification
- Composer authentication
Failure to comply with license verification requirements may result in suspension of updates, support, or license revocation.
3. Intellectual Property
- All intellectual property rights in the Software remain the exclusive property of Towering Media.
- The Software, including but not limited to source code, object code, algorithms, documentation, design components, images, graphics, text, configuration files, and database structures, are protected under United States copyright law and international intellectual property laws.
- This Agreement does not transfer ownership of the Software to the Customer.
- The Customer receives only the limited license rights described in this Agreement.
4. Restrictions
The Customer agrees that they shall not:
- Sell, sublicense, distribute, lease, rent, or otherwise transfer the Software to any third party.
- Publish the source code publicly or distribute it through public repositories.
- Remove copyright notices, branding, or proprietary marks contained within the Software.
- Use the Software in violation of applicable laws.
- Attempt to reverse engineer, decompile, disassemble, or otherwise extract proprietary logic from the Software except where permitted by law.
- Use the Software in a manner that circumvents licensing systems.
5. License Registration

Customers may be required to register their license by providing information including but not limited to:
- Project name
- Production domain
- Magento installation details
- Failure to complete license registration when required may constitute a violation of this Agreement.
- Towering Media reserves the right to audit license usage where reasonable evidence of misuse exists.
6. Updates and Support
- Access to updates, security patches, and new releases may require an active subscription or support plan.

If the subscription expires:
- the Customer may continue using the installed version
- but will lose access to updates and support.

Support services may be provided via:
- ticket system
- documentation
- knowledge base
Support does not include custom development unless explicitly agreed.
7. Refund Policy
- Towering Media offers a 30-day money-back guarantee for most Software purchases unless otherwise stated.
- Refund requests must be submitted within 30 days of purchase and include a reason for the request.

Refunds do not apply to:
- support services
- custom development
- renewal payments
- consulting services
- Towering Media reserves the right to deny refund requests in cases of abuse or violation of license terms.
8. Term and Termination
- This Agreement remains effective until terminated by either party.

Towering Media may terminate the license if the Customer:
- violates this Agreement
- engages in software piracy
- attempts to circumvent licensing systems

Upon termination:
- the Customer must cease using the Software
- and remove all copies from their systems.
- Continued use after termination constitutes a violation of intellectual property rights.
9. Limitation of Liability
- The Software is provided “as is” without warranties of any kind.
- Towering Media shall not be liable for any damages including but not limited to loss of profits, loss of data, business interruption, or system failures resulting from use or inability to use the Software.
- The Customer assumes full responsibility for testing the Software in their environment.
10. Governing Law
This Agreement shall be governed by and interpreted under the laws of the State of Illinois, United States, without regard to conflict of law principles.
Any disputes arising from this Agreement shall be resolved in courts located within the State of Illinois.
11. Modifications to the Agreement
Towering Media reserves the right to modify this Agreement at any time.

Continued use of the Software after changes are published constitutes acceptance of the revised Agreement.
